iDeskHubs SecureDoc is a cloud-based document management system that provides:

3. Account Registration

3.1 Eligibility

You must be at least 16 years old to use the Service. By registering, you represent that you meet this requirement.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Using strong passwords and enabling multi-factor authentication

4. Acceptable Use

Warning: Violation of these terms may result in immediate termination of your account and potential legal action.

5. Content and Data

You retain ownership of all content you upload to the Service. By uploading content, you grant us a limited license to store, process, and display your content as necessary to provide the Service.

5.2 Content Responsibility

You are solely responsible for:

  • The legality of content you upload
  • Ensuring you have rights to upload the content
  • Compliance with data protection regulations
  • Backup of your important documents

5.3 Data Processing

We process your data in accordance with our Privacy Policy. For organizations, additional data processing terms may apply.

6. Intellectual Property

The Service and its original content (excluding user content), features, and functionality are and will remain the exclusive property of iDeskHubs Technologies. The Service is protected by copyright, trademark, and other intellectual property laws.

7. Subscription and Payment

7.1 Fees

Certain features of the Service may require payment. All fees are stated in your subscription agreement and are non-refundable except as required by law.

7.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method at the start of each billing period.

7.3 Cancellation

You may cancel your subscription at any time. Access will continue until the end of your current billing period.

8. Service Availability

8.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice when possible.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDESKHUBS TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits or revenue
  • Loss of data or documents
  • Business interruption
  • Loss of goodwill

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability or fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of content
  • Uninterrupted or error-free operation

11. Indemnification

You agree to defend, indemnify, and hold harmless iDeskHubs Technologies from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you upload or share through the Service

12. Termination

12.1 By You

You may terminate your account at any time by contacting support or using the account settings.

12.2 By Us

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may delete your data in accordance with our data retention policies.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Lagos, Nigeria.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by:

  • Posting the updated Terms on our website
  • Sending email notification to registered users
  • Displaying a notice within the Service

Continued use of the Service after changes constitutes acceptance of the updated Terms.
